DISTRIBUTOR TERMS & CONDITIONS

1. Legal Status of Agreement

This Distributor Agreement (“Agreement”) is a legally binding contract between the applicant (“Distributor”) and Arogion Lifep Private Limited (“Company”).

Electronic acceptance by selecting “I Agree” during online registration constitutes valid execution under:

• Information Technology Act, 2000
• Consumer Protection (Direct Selling) Rules, 2021

The Company shall maintain digital records including date, timestamp, and IP address.

2. Independent Contractor Status

The Distributor is an independent contractor.

Nothing in this Agreement shall create:

• Employer–employee relationship
• Partnership
• Agency
• Joint venture

The Distributor has no authority to legally bind the Company.

3. Strict Product-Based Direct Selling Model

The Company operates strictly as a product-based direct selling entity.

• Income is derived solely from legitimate product sales.
• No remuneration shall be paid for recruitment alone.
• The Company does not operate as a pyramid scheme or money circulation scheme.
• The Company does not accept deposits.

4. Absolute Prohibition on Coercion

Distributor shall not:

• Force or pressure any person to purchase products
• Use emotional manipulation
• Threaten loss of opportunity
• Mislead customers regarding urgency or scarcity
• Compel bulk purchases

All sales must be voluntary and based on informed consent.

Violation may result in immediate suspension or termination.

5. Strict Income Representation & Earnings Disclaimer

Arogion Lifep Private Limited makes no guarantee of income or financial success.

Distributor earnings depend solely on:

• Individual effort
• Sales performance
• Market demand
• Business capability

The Company does not guarantee monthly salary, assured commissions, passive income, or fixed returns.

Results vary significantly. Some Distributors may earn no income, limited income, or higher income. Results are neither typical nor guaranteed.

Distributor shall not guarantee income, promise fixed earnings, display manipulated screenshots, use exaggerated projections, or modify official compensation documents.

6. No Investment Representation

Distributor shall not represent the business as:

• Investment scheme
• Deposit scheme
• Money doubling program
• Passive income plan
• Fixed return model
• Savings or financial scheme

The Company is not a financial institution.

7. No Unauthorized Product Claims

• Make medical cure claims
• Claim disease treatment or prevention
• Provide unapproved health assurances
• Modify product labels
• Create unauthorized marketing material

All promotions must follow Company-approved materials.

8. No Unauthorized Compensation Modifications

• Create parallel compensation structures
• Offer unofficial bonuses
• Share unofficial payout charts
• Operate auto-pool or unofficial pooling systems

Only the official Compensation Plan applies.

9. Refund & Return Policy (Customers)

Customers may return products within 30 days from date of delivery.

Products must be unused, in original packaging, and within shelf life.

Refund shall be processed within 15 working days after verification.

Shipping charges may be deducted where applicable.

10. Distributor Buyback Policy

• Return request must be made within 30 days of resignation.
• Products must be unused and resalable.
• Refund not less than 90% of original purchase price.
• Refund processed within 30 days after verification.

11. No Inventory Loading Policy

The Company strictly prohibits inventory loading. Distributors are not required to purchase excessive stock.

12. Cooling-Off Period

• Distributor may cancel within 7 days of registration.
• Products purchased at joining may be returned within 7 days.

Full refund shall be processed (excluding shipping if applicable).

13. Return & Buyback Procedure

• Return request may be sent via email.
• Invoice/order details must be provided.
• Products must be shipped to Company address.
• Refund processed after inspection.

14. Non-Liability for Independent Misconduct

The Company shall not be liable for unauthorized promises or illegal conduct by Distributor.

15. Indemnification

Distributor agrees to indemnify and hold harmless the Company from legal claims or financial losses arising from Distributor misconduct.

16. Regulatory Compliance

Distributor shall comply with Consumer Protection (Direct Selling) Rules, 2021 and all applicable Indian laws.

17. Tax Responsibility

Distributor is responsible for income tax compliance and GST registration if applicable.

18. Termination Without Notice

The Company may suspend or terminate distributorship in cases involving fraud, false claims, or legal violations.

19. Limitation of Liability

The Company shall not be liable for business losses, marketing expenses, or loss of anticipated profits.

20. Arbitration & Jurisdiction

Jurisdiction: Telangana, India.

Disputes shall be referred to arbitration under the Arbitration & Conciliation Act, 1996.

ANNEXURE – A

DIRECT SELLER CODE OF CONDUCT

• Distributors must act ethically and identify themselves as Independent Distributors.
• No unauthorized medical claims.
• No guaranteed income promises.
• No coercion or forced purchases.
• Only Company-approved marketing materials allowed.
• No cross-recruiting or unofficial compensation structures.

FINAL ACCEPTANCE DECLARATION

By selecting “I Agree” during registration, the Distributor confirms:

• He/She is above 18 years of age.
• He/She has read and understood this Agreement.
• He/She agrees to comply with Company policies.
• Income is not guaranteed.
• No reliance on unofficial promises.

This electronic acceptance constitutes a legally binding agreement.
